Terms of Service

1. Agreement to Terms

By creating a Chelar account and checking the acceptance box during registration, you ("User", "you") enter into a legally binding agreement with Chelar ("we", "us", "the Service"). If you do not agree to these Terms, do not create an account or use the Service. Your continued use of Chelar after any update to these Terms constitutes acceptance of the updated Terms.

2. Service Description

Chelar provides managed hosting for AI personal assistants. We provision and manage isolated containers on your behalf, connecting them to your messaging channels (WhatsApp, Telegram, Slack, Discord). Each tenant receives a dedicated container with encrypted storage, running either the OpenClaw or ZeroClaw runtime.

Chelar is currently in beta. Features, pricing, and availability may change without prior notice.

3. Your Account

You must provide accurate and complete information when creating your account. You are solely responsible for maintaining the confidentiality of your account credentials, API keys, and any activity that occurs under your account. You must notify us immediately at support@chelar.ai if you suspect unauthorized access. One account per individual; shared or automated account creation is prohibited.

4. API Keys & Data

You provide your own AI provider API keys (e.g. Anthropic, OpenAI, Google). We store these encrypted using AES-256-GCM and use them solely to operate your assistant container. We do not access, read, or store your chat conversations, AI sessions, agent execution data, or any content processed by your assistant. The Go API queries gateways with operator.read scope only (metadata such as health status, session counts, and channel status).

You are responsible for the security of your API keys. If a key is compromised, you must rotate it immediately with your AI provider and update it in Chelar. We are not liable for charges incurred on your AI provider account due to compromised keys.

5. AI Output Disclaimer

Your AI assistant generates responses using third-party large language models. These models may produce inaccurate, misleading, biased, or fabricated content ("hallucinations"). Chelar does not control, review, or guarantee the accuracy, completeness, or suitability of any AI-generated output.

You are solely responsible for reviewing and validating all AI-generated content before acting on it or sharing it with others.

You must not rely on AI-generated output for medical, legal, financial, or other high-stakes decisions without independent human verification. Chelar expressly disclaims all liability for decisions made based on AI-generated content.

6. Acceptable Use Policy

You agree not to use Chelar to:

  • Engage in or facilitate any illegal activity
  • Send spam, unsolicited messages, or automated bulk messaging via connected channels
  • Harass, threaten, defame, or abuse any person
  • Generate content that exploits or harms minors
  • Impersonate individuals, organizations, or AI systems in a misleading way
  • Conduct phishing, fraud, or social engineering attacks
  • Attempt to escape container isolation, access other tenants' data, or exploit platform infrastructure
  • Circumvent rate limits, resource quotas, or security controls
  • Reverse-engineer, decompile, or extract proprietary components of the platform
  • Violate the terms of service of your AI provider or connected messaging platforms
  • Use the AI assistant for automated political manipulation, election interference, or disinformation campaigns
  • Generate content that infringes third-party intellectual property rights

Violations may result in immediate account suspension or termination without prior notice. We reserve the right to report illegal activity to law enforcement authorities.

7. Container Isolation & Security

Each tenant's assistant runs in an isolated Docker container with dedicated encrypted storage (AES-256-GCM client-side encryption on JuiceFS) and per-tenant POSIX file permissions. Containers are network-isolated and cannot communicate with each other.

You must not attempt to break container isolation, escalate privileges, modify platform infrastructure, or access resources belonging to other tenants. Any such attempt constitutes a material breach of these Terms and may result in immediate termination and legal action.

8. Service Availability (Beta)

Chelar is provided on a best-effort basis during the beta period. We do not offer any service level agreement (SLA) or uptime guarantee. We may modify, suspend, or discontinue any feature or the entire Service at any time, with or without notice.

Scheduled and unscheduled maintenance may cause temporary service interruptions. We will make reasonable efforts to notify users of planned maintenance but are not obligated to do so. We are not liable for any downtime, data loss, or service interruptions during the beta period.

9. Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

To the maximum extent permitted by applicable law, Chelar and its operators shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to: loss of profits, revenue, data, or business opportunities; system malfunctions; AI-generated content errors; container failures; or service interruptions — regardless of the theory of liability.

Our total aggregate liability for any claims arising from or related to the Service shall not exceed the total amount you paid to Chelar in the twelve (12) months preceding the claim, or fifty euros (EUR 50), whichever is greater.

Nothing in these Terms excludes or limits liability for fraud, gross negligence, willful misconduct, or any liability that cannot be excluded or limited under applicable law.

10. Indemnification

You agree to indemnify, defend, and hold harmless Chelar and its operators from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from:

  • Your use or misuse of the Service
  • AI-generated content produced by your assistant
  • Violations of the Acceptable Use Policy
  • Messages sent through connected messaging channels
  • Infringement of third-party rights
  • Your breach of these Terms

11. Termination

By you: You may delete your assistant and account at any time from the Settings page. Upon deletion, all associated data (container, encrypted storage, channel credentials, configuration backups) is permanently and irreversibly removed.

By us: We may suspend or terminate your account at any time, with or without cause and with or without notice, including but not limited to: violation of these Terms or the Acceptable Use Policy; illegal activity; fraud or abuse; failure to pay fees; or if we determine at our sole discretion that continued service poses a legal, security, or operational risk.

Upon termination, your access to the Service stops immediately. We may retain minimal records as required by law. Active subscriptions are not refunded for the current billing period upon termination for cause.

12. Data Processing & GDPR

For the purposes of the EU General Data Protection Regulation (GDPR), Chelar acts as a data processor. You, as the tenant, act as the data controller for any personal data processed by your AI assistant through connected messaging channels.

As the data controller, you are responsible for: obtaining appropriate consent from your end-users; processing data lawfully; responding to data subject rights requests (access, rectification, erasure, portability); and ensuring compliance with applicable data protection laws.

Messaging platform compliance: If you connect WhatsApp, you must use the WhatsApp Business API and comply with Meta's data processing requirements. Telegram does not currently maintain a formal GDPR Data Processing Agreement — connecting Telegram is at your own legal risk. Slack and Discord provide enterprise-grade data processing agreements for business use.

13. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email or a prominent notice on the dashboard. The "Last updated" date at the top of this page indicates when the Terms were last revised. Continued use of the Service after changes take effect constitutes your acceptance of the revised Terms. If you disagree with the changes, you must stop using the Service and delete your account.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of the Netherlands. Any disputes arising from or relating to these Terms or the Service shall be submitted to the exclusive jurisdiction of the competent courts in the Netherlands. If any provision of these Terms is found unenforceable, the remaining provisions shall continue in full force and effect.
